Terms of Service

1. Overview

This website and store (the "Store") is operated by Loud Memes ("Loud Memes", "we", "us", "our"), an individual business based in Israel. By visiting the Store or buying from us, you agree to these Terms of Service ("Terms"), together with our Refund Policy, Shipping Policy and Privacy Policy, which are part of these Terms. If you don't agree, please don't use the Store.

2. Eligibility and where we sell

You must be at least 18 years old, or the age of majority in your state or country, to place an order. If you are under that age, you may use the Store only with the involvement of a parent or guardian. We sell and ship to the United States and the international destinations available at checkout.

3. Our products

  • All products are made or packed to order by our production partners. Colors, print placement and sizes may vary slightly from photos and mockups.
  • Sound items contain button cell batteries and are novelty items intended for ages 14 and up. They are not toys for young children. Please read our Battery Safety page.
  • We may limit quantities, discontinue products, or refuse or cancel any order at our discretion, including orders that appear fraudulent or were placed with a pricing error. If we cancel a paid order, we'll refund you in full.

4. Prices and payment

All prices are in US dollars (USD) and may change at any time without notice. Applicable sales tax and shipping charges are shown at checkout. You agree to provide accurate, current purchase and account information and authorize us and our payment processors to charge your chosen payment method.

5. Shipping, returns and guarantees

Shipping times, fees, returns, refunds and our 30-Day No-Silent Guarantee are described in our Shipping Policy and Refund Policy. Risk of loss passes to you when the package is delivered to the carrier, except as covered by optional Shipping Protection or our policies.

6. Parody and fan-made content disclaimer

Loud Memes sells fan-made parody merchandise inspired by internet memes and online culture. Our products are intended as humor and commentary. We are not affiliated with, sponsored by, or endorsed by any person, creator, brand or rights holder shown or referenced in our products or designs. All names and likenesses belong to their respective owners.

If you believe any of our content infringes your rights, please email grokbotmarketing@gmail.com with your name, contact details, a description of the work or right, the product link, and a statement that you have a good-faith belief the use is not authorized. We review every request and will remove content where appropriate.

7. Intellectual property

Except as noted above, the Store's content, including text, graphics, logos and original designs, belongs to us or our licensors and may not be copied or used without our written permission.

8. User content

If you send us reviews, photos, videos, comments or ideas, you grant us a non-exclusive, royalty-free right to use, reproduce and display them in connection with the Store. You confirm you have the right to share them and that they don't violate anyone's rights or any law. We won't edit reviews to change their meaning.

9. Prohibited uses

You may not use the Store for any unlawful purpose; to infringe anyone's rights; to upload malicious code; to scrape, spam or interfere with the Store's security; or to submit false information or fraudulent orders.

10. Third-party services and links

The Store runs on Shopify and uses third-party services (such as payment processors, fulfillment partners and carriers). We are not responsible for third-party websites or services, which have their own terms.

11. Disclaimer of warranties

Except for the express guarantees in our Refund Policy, the Store and all products are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Some states don't allow the exclusion of implied warranties, so some of these exclusions may not apply to you.

12. Limitation of liability

To the fullest extent permitted by law, Loud Memes and its owner, partners and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Store or any product. Our total liability for any claim related to a product or order is limited to the amount you paid for that order. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for death or personal injury caused by negligence.

13. Indemnification

You agree to indemnify and hold harmless Loud Memes and its partners from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms or your violation of any law or third-party right.

14. Payments, chargebacks and disputes

If there's a problem with your order, please email us at grokbotmarketing@gmail.com before contacting your bank or card issuer. Most issues (silent items, misprints, lost packages) are covered by our policies and can be fixed faster directly with us. If you open a chargeback or payment dispute, we may respond to it by providing order, tracking and communication records to the payment processor. We may refuse future orders from accounts involved in chargebacks we reasonably believe are fraudulent or made in bad faith. This does not limit any right you have under applicable law to dispute an unauthorized or incorrect charge.

15. Force majeure

We are not responsible for delays or failures to perform caused by events beyond our reasonable control, including natural disasters, extreme weather, epidemics, war, terrorism, civil unrest, government actions, labor disputes, carrier or postal delays, customs holds, supplier or production partner disruptions, power or internet outages, and platform failures. If such an event affects your order, we will keep you informed and, if we cannot fulfill it within a reasonable time, offer you a refund for the unfulfilled items.

16. Governing law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules, except that Section 17 (Dispute resolution and arbitration) is governed by the U.S. Federal Arbitration Act. This choice of law does not deprive you of any mandatory consumer protections you have under the laws of your state or place of residence.

17. Dispute resolution and binding individual arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.

  • Informal resolution first. Before starting any formal proceeding, you agree to email us at grokbotmarketing@gmail.com with your name, order number and a description of the dispute, and to give us 30 days to try to resolve it informally. We will do the same if we have a dispute with you.
  • Binding arbitration. If we can't resolve the dispute informally, you and Loud Memes agree that any dispute, claim or controversy arising out of or relating to these Terms, the Store, or any product or purchase will be resolved by binding individual arbitration, rather than in court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, available at www.adr.org. The arbitration may be conducted by video, phone or written submissions, or in person in the county where you live, at your choice. Payment of filing and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules. The arbitrator may award the same individual relief a court could award, but only to the individual party seeking relief.
  • Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek relief in court for infringement or misuse of intellectual property.
  • Class action waiver. To the fullest extent permitted by law, you and Loud Memes agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims. If this class action waiver is found unenforceable as to any claim, that claim will be decided in court, not arbitration, and the rest of this section will still apply to other claims.
  • Jury trial waiver. By agreeing to arbitration, you and Loud Memes each waive the right to a trial by jury.
  • 30-day right to opt out. You may opt out of this arbitration agreement by emailing grokbotmarketing@gmail.com within 30 days after you first accept these Terms (for example, by placing your first order), with the subject line "Arbitration Opt-Out" and your name, email address and order number (if any). Opting out will not affect any other part of these Terms or your relationship with us.
  • Severability. If any part of this section is found unenforceable (other than the class action waiver, which is addressed above), that part will be severed and the rest will remain in effect.

18. Changes and severability

We may update these Terms at any time by posting the new version on this page; continued use of the Store means you accept the changes. Changes to Section 17 will not apply to disputes that arose before the change was posted. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce any provision is not a waiver.
